1. General Disclaimer

StubSign is a payroll documentation and record-keeping platform - nothing more. The Service is currently in beta. StubSign Inc. is not a payroll provider, payment processor, tax advisor, accountant, or legal counsel.

2. No Payment Processing

StubSign does not process, initiate, facilitate, or handle:

  • Direct deposits or bank transfers of any kind
  • Payroll funding or wage disbursement
  • ACH transfers, wire transfers, or any monetary transactions
  • Payment to workers or any third party

The direct deposit information displayed on generated pay stubs is provided by you for documentation and record-keeping purposes only. It is your sole responsibility to actually pay your workers using your own banking, payment, or payroll systems.

Direct deposit, real-time bank transfers, and integrated payment features may be explored in future product releases but are not currently available.

3. No Tax Services

StubSign does not:

  • File taxes or submit tax documents to the IRS or any state or local agency
  • Withhold, remit, or manage tax payments on your behalf
  • Issue W-2 forms, 1099 forms, or any official tax documents
  • Provide tax planning, tax optimization, or tax compliance services

All tax calculations (federal withholding, state taxes, Social Security, Medicare, etc.) displayed on generated pay stubs are estimates only based on publicly available tax tables and the data you provide. These calculations should not be relied upon as final or accurate tax figures. You must consult a qualified tax professional for all tax matters.

4. No Full SSN/ITIN Collection

We do not collect or store full Social Security Numbers (SSN) or Individual Taxpayer Identification Numbers (ITIN). Only the last four digits are collected for display on pay stubs.

When IRS TIN matching is performed at your direction, identification numbers are transmitted directly to IRS-authorized verification systems as a cross-check to help prevent fraudulent pay stub generation. These numbers are not stored in our databases.

5. Calculation Accuracy

Pay stub calculations are generated using publicly available federal and state tax tables, standard overtime multipliers (1.5x regular rate), and the information you provide. StubSign does not guarantee the accuracy, completeness, or correctness of any calculation. You are solely responsible for verifying all figures before distributing pay stubs to workers or using them for any purpose.

6. 1099 Contractors Only

The Service currently supports 1099 independent contractor documentation only. We do not currently support W-2 employee payroll, and generated documents should not be used as W-2 employee pay documentation. W-2 support may become available in future releases.

7. IRS Verification Scope

IRS TIN/EIN matching and Secretary of State business verification are offered as due diligence tools to help reduce fraudulent use of the platform. These verifications:

  • Confirm that a TIN/EIN exists in IRS records and matches the name provided
  • Confirm that a business entity is registered with the relevant Secretary of State
  • Do not constitute an endorsement, guarantee, or certification of any business or individual
  • Do not verify the legitimacy, solvency, or conduct of any party
  • Are performed using third-party APIs and government systems over which StubSign has no control
  • May be unavailable, delayed, or inaccurate due to factors beyond our control

8. Beta Status

The Service is in beta testing. This means:

  • Features may be added, changed, or removed without notice
  • The Service may experience downtime, errors, or data loss
  • Calculations or generated documents may contain errors
  • The platform is provided as-is for evaluation and early use

9. Third-Party Services

StubSign integrates with third-party services for authentication, data storage, address lookup, and business verification. We are not responsible for the availability, accuracy, uptime, or policies of these third-party services.

10. No Warranty

ALL SERVICES, CONTENT, AND DOCUMENTATION ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, RELIABILITY, AND NON-INFRINGEMENT.

11. Your Responsibility

You are solely and entirely responsible for:

  • The accuracy and truthfulness of all data entered into the Service
  • Ensuring generated pay stubs reflect actual compensation arrangements
  • Actual payment of wages to your workers through your own means
  • Compliance with all applicable employment, labor, and tax laws
  • Proper classification of workers (1099 contractors vs. W-2 employees)
  • Distribution and retention of payroll records as required by law
  • Consulting qualified professionals for all tax, legal, and accounting matters
