Terms of Service

Effective date: April 8, 2026

1. Overview

These Terms of Service ("Terms") govern your use of StubSign ("Service"), operated by StubSign Inc. ("Company," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms in full. If you do not agree, you may not use the Service.

The Service is currently in beta. Features, availability, and functionality may change at any time without notice.

2. What StubSign Is

StubSign is a payroll documentation and record-keeping platform designed for small businesses. The Service enables users to generate pay stubs, pay slips, and earning statements for their workers.

StubSign is not a payroll provider. We do not:

  • Process, initiate, or facilitate direct deposits or bank transfers
  • File taxes or submit tax documents to any agency
  • Withhold or remit taxes on behalf of any party
  • Issue W-2 forms or manage W-2 employee payroll
  • Provide tax, legal, or accounting advice

The Service currently supports 1099 contractor documentation only. W-2 employee support and direct deposit integrations may become available in future releases.

3. Eligibility

To use StubSign, you must be at least 18 years of age, authorized to represent a legitimate business entity, and capable of entering into a binding agreement. The Service is intended for registered businesses, sole proprietors, and self-employed individuals who need to generate payroll documentation for themselves or their workers.

4. Account Registration

You are responsible for maintaining the security of your account credentials. All information provided during registration must be accurate and current. You are solely responsible for all activity that occurs under your account.

5. Your Responsibilities

You are solely and entirely responsible for:

  • The accuracy, completeness, and truthfulness of all information entered into StubSign, including but not limited to worker names, pay rates, hours, deductions, and tax information
  • Ensuring that all pay stubs generated reflect actual, legitimate compensation arrangements
  • Compliance with all applicable federal, state, and local employment, labor, and tax laws
  • Proper classification of workers as independent contractors (1099) or employees
  • The actual payment of wages or compensation to your workers through your own banking or payment systems
  • The retention and distribution of payroll records as required by law
  • Consulting qualified tax professionals or accountants for specific tax and legal guidance

6. Pay Stub Acceptance

Pay stubs generated by StubSign are documentation tools based on the data you provide. StubSign makes no guarantee or representation that generated pay stubs will be accepted by any bank, lender, landlord, government agency, or any other third party for any purpose, including but not limited to income verification, loan applications, or housing applications. Acceptance of pay stubs is entirely at the discretion of the receiving party.

7. Business and IRS Verification

StubSign may verify your business through Secretary of State records and facilitate Taxpayer Identification Number (TIN) and Employer Identification Number (EIN) matching through IRS-authorized systems. These verifications are performed as part of our effort to prevent fraudulent pay stub generation and to support accurate record-keeping.

You certify, under penalties of perjury as provided under IRC Section 7206, that all information submitted for IRS verification is true, correct, and complete.

Important: Verification confirms only that a business entity or TIN/EIN exists in government records. It does not constitute an endorsement, guarantee, or certification of any business, individual, or their practices.

8. Data Handling

We do not collect, store, or retain full Social Security Numbers (SSN) or Individual Taxpayer Identification Numbers (ITIN). We collect only the last four digits for display on pay stubs. When IRS TIN matching is performed, full numbers are submitted directly to IRS-authorized verification systems at your direction and are not stored in our databases.

9. No Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STUBSIGN INC. SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, data, or business opportunity
  • Errors, inaccuracies, or omissions in generated pay stubs
  • Rejection of pay stubs by any third party
  • Tax penalties, fines, or assessments resulting from your use of the Service
  • Worker disputes or employment claims
  • Any damages arising from your reliance on calculations provided by the Service

You use this Service at your own risk. Our total liability for any claim shall not exceed the amount you paid us in the three (3) months preceding the claim, or fifty dollars ($50), whichever is less.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, OR NON-INFRINGEMENT. AS THE SERVICE IS IN BETA, FEATURES MAY CONTAIN BUGS, PRODUCE INCORRECT CALCULATIONS, OR BECOME UNAVAILABLE WITHOUT NOTICE.

11. Indemnification

You agree to indemnify, defend, and hold harmless StubSign Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: your use of the Service, your violation of these Terms, the accuracy of data you enter, the pay stubs you generate, or your infringement of any third-party rights.

12. Prohibited Uses

You may not use StubSign to:

  • Generate fraudulent, fictitious, or misleading pay stubs
  • Fabricate income, inflate compensation, or misrepresent employment
  • Submit false information for IRS verification
  • Use generated documents for illegal purposes including tax fraud, bank fraud, or housing fraud
  • Reverse-engineer, scrape, or attempt to circumvent the Service

13. Termination

We may suspend or terminate your account at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately.

14. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification. Continued use after changes constitutes acceptance.
